These Terms and Conditions ("Terms") govern your use of all services provided by The FrontBurners LLC ("FrontBurners," "we," "us," or "our"). By visiting our website or using our services, you agree to be bound by these Terms, including any additional guidelines or agreements provided during our engagement.

1. Service Scope
FrontBurners provides outbound sales development, CRM enablement, email deliverability, and marketing automation services tailored for B2B tech companies. Deliverables may include SDR support, lead sourcing, outreach campaigns, CRM configuration, automation workflows, domain setup, and meeting booking.
All services will be outlined in a mutually agreed Statement of Work (SOW), proposal, or Master Services Agreement (MSA).
2. Client Responsibilities
Clients agree to:
- Provide accurate, timely, and complete information required for service delivery.
- Ensure that all lead/prospect data shared with us complies with relevant data protection regulations (e.g., GDPR, CCPA).
- Use any data or outcomes provided through our services legally and ethically.
- Maintain access credentials, platform permissions, and third-party tools as needed.
3. Intellectual Property
Unless otherwise agreed in writing:
- All materials, processes, strategies, and documentation created by FrontBurners remain our intellectual property.
- Clients may use these materials solely during the term of service and for internal purposes.
- Client-owned data (e.g., leads, contacts, internal documentation) remains the exclusive property of the client.
4. Confidentiality
Both parties agree to:
- Keep all confidential information (client strategies, pricing, internal materials, personal data, etc.) private.
- Use such information only for purposes directly related to service delivery.
- Maintain confidentiality during and after the relationship.
5. Client Data Ownership and Protection
- All data provided by the client remains their exclusive property.
- FrontBurners acts as a data processor, not a data controller.
- We will never reuse, resell, or share client data with third parties.
- All client data is securely stored and encrypted both in transit and at rest.
- Data will be deleted upon termination within 30 days unless otherwise requested.
6. Subprocessors and Third-Party Tools
To deliver services, FrontBurners may use trusted third-party tools (e.g., Zoominfo, Apollo, Cognism, LinkedIn, Sales Navigator, HubSpot, SalesForce, SalesForce Lightning, Monday.io, Pipeline CRM, PipeDrive CRM, Close CRM, Microsoft Dynamics, Microsoft Office 365, Google Workspace, Apple Mail, Windows Mail, Zapier, N8N, Make, Slack, Microsoft Teams, Google Chat, Google Meet, Tldv, Calendly).
- A list of active subcontractors is available upon request.
- We ensure all subprocessors meet strict privacy and security standards.
- Clients grant permission for necessary third-party integrations during onboarding.
7. Anti-Spam & Ethical Outreach
FrontBurners adheres to global anti-spam laws, including CAN-SPAM, GDPR, CASL, and PECR.
- All outreach campaigns are personalized, relevant, and include opt-out options.
- We never use deceptive, misleading, or unethical sales tactics.
- Clients must ensure that any outreach data shared with us is lawfully obtained.
8. Security Measures
To protect client data and ensure operational integrity:
- All tools and platforms are protected by two-factor authentication (2FA).
- Access is role-based and monitored with activity logs.
- Our systems are protected with SSL encryption, endpoint protection, and backup protocols.
- We maintain a formal data breach response plan and will notify clients of any breach within 72 hours.
9. Payments and Billing
- Fees are billed monthly, upfront, or as outlined in the service agreement.
- Payments are due within the terms listed on the invoice (typically Net 7).
- Payments are charged automatically with the default card on file on the billing date each month.
- Late payments may result in service pauses or suspensions.
- No refunds are provided for services already delivered unless otherwise agreed.
10. Results Disclaimer
While FrontBurners works to optimize sales processes and lead generation, we cannot guarantee specific results or revenue.
- Campaign outcomes depend on product-market fit, timing, offer quality, titles, decision makers, annual contract value, sales cycle, and other external factors.
- We provide regular performance reports and make data-driven optimizations to improve outcomes.
11. Term and Termination
- Services continue on a rolling monthly or quarterly basis unless stated otherwise.
- Either party may terminate the agreement with 14–30 days’ written notice.
- Upon termination, all client data will be securely deleted unless retention is legally required.
- Prepaid amounts are non-refundable unless agreed in writing.
12. Limitation of Liability
To the maximum extent allowed by law:
- FrontBurners will not be liable for indirect, incidental, punitive, or consequential damages.
- Our total liability will not exceed the amount paid by the client in the past 30 days.
13. Platform Downtime and Third-Party Tools
FrontBurners is not responsible for service disruptions caused by external tools (e.g., CRM downtime, LinkedIn restrictions, email provider outages). We will provide support, but we cannot guarantee uptime for services beyond our direct control.
14. Conflict of Interest Policy
FrontBurners will not work with two direct competitors in the same region or vertical unless agreed in writing. We prioritize transparency and exclusivity where needed to protect client integrity.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Delaware, United States.
Any legal disputes will be resolved through mediation or courts located in Delaware.
16. Changes to These Terms
FrontBurners reserves the right to update or modify these Terms at any time. Clients will be notified of material changes, and continued use of services constitutes agreement to the updated Terms.
17. Mutual Non-Disparagement
Both parties agree not to make defamatory, false, or negative statements about the other, publicly or privately, during or after the business relationship.
